What is EMEA Legal Team responsible for?

The Corporate Counsel will be part of the Franklin Templeton Legal team covering Europe, Middle East and Africa (EMEA), which currently comprises approximately 40 staff, and will work primarily on covering the UK retail fund vehicles (currently UK UCITS and investment trusts) and advising the UK boards, but may also have some involvement with alternative funds and special projects.

What are the ongoing responsibilities of Corporate Counsel?

The successful applicant will be expected to provide pragmatic commercial legal advice to internal clients, manage legal services provided by external legal counsel, liaise with regulators and trade bodies and negotiate contractual terms with third parties. The role may involve some travel within the region, the supervison of delegated work, and potentially the supervision of one or two more junior lawyers.


Primarily advising the corporate boards and internal clients on all matters related to our UK retail fund ranges, including negotiating important service provider and commercial agreements

Playing a key role in the Assessment of Value process and preparation of the public report for the UK retail fund ranges, in conjunction with stakeholders across the business.

Supporting the product governance process and managing fund launches and documentation updates for the UK retail fund ranges.

Attending board meetings, presenting periodic legal updates and overseeing company secretarial matters.

Advising the boards on good governance and their responsibilities under regulation, including SMCR.

Instructing and managing the relationship with external counsels.

Occasionally advising the investment team on legal risks and securities litigation options in response to complications with portfolio holdings.

Occasionally reviewing general legal agreements and reviewing / drafting FT inter-company service agreements.

Instructing external counsel in relation to e.g. property, employment or litigation matters in relation to the UK business.

Contributing on behalf of the UK Legal team to project groups implementing regulatory change with regional or global impacts.

Researching and providing updates on developing legislation in the region, occasionally preparing responses to consultations, representing FT in collaboration with trade associations, and developing relationships with regulators.

Overseeing the work of and supporting the development of more junior lawyers within the team.

What ideal qualifications, skills & experience would help someone to be successful?

Education and experience

At least 5 PQE years of relevant work experience as in-house counsel to an investment management firm or in the financial services department of an international law firm.

Experience of advising on a UCITS fund range and the related documentation (preferably UK) is essential.

Experience of working for an international organisation is an advantage.

Understanding of UK regulatory proposals, such as SDR and OFR, would be desirable.

Experience of having managed others lawyers is also desirable.

Skills and abilities

Fluent written and spoken English.

Knowledge and experience of the asset management industry.

Deep understanding of UK retail fund regulation and the key agreements associated with such funds.

Familiarity with FCA regulations and UK legislation relating to investment funds.

Ability to analyse regulatory proposals and consider the practical impacts for our business.

Ability to work well under pressure and handle multiple responsibilities.

Ability to work independently without supervision.

Strong commercial awareness and ability to present legal issues in layman terms.

Ability to successfully operate and communicate in an international environment.
